A Non-Disclosure Agreement (NDA) is a legal contract between two parties, where one party (the disclosing party) shares confidential information with the other party (the recipient), with the intention of limiting its use, dissemination, and distribution. The purpose of the NDA is to protect the confidential information from being disclosed to unauthorized third parties, which could cause harm to the disclosing party, either in terms of financial loss or damage to its reputation.

The terms of the NDA define what information is considered confidential, the duration of the agreement, and the circumstances under which the recipient may disclose the information. NDAs also often include provisions for the return or destruction of confidential information upon termination of the agreement, as well as remedies for breach of the agreement, such as monetary damages or injunctive relief.

It is important to note that NDAs have limits and should not be used to protect information that is already publicly known, independently developed by the recipient, or required to be disclosed by law.
